Boards of directors play an important role in holding non-profit agencies accountable for their fiduciary obligations and strategic direction. They are a group of individuals who are able to come together with a variety of backgrounds and experience to make decisions regarding the direction of the agency. Unfortunately there are many boards that don’t function smoothly. This is mostly due to the lack of proper planning, communication, and training.

If a particular member’s behavior causes significant friction in the Board there is a good time to address that issue. Whether the director’s behavior is divisively, abusive or overbearing or overbearing, their actions can be detrimental to the mission of the organization.

Direct intervention is the first step to dealing with members of the board who are difficult. The board chair should sit down with each member and explain to them that their behavior is unacceptable. Remind the person that they were entrusted to the board based on their expertise and knowledge and that it is in everyone’s best interests to work well together.

The next step is gathering details and documentation of the behavior of the board member who is at fault. A code of conduct is a good option to stop problematic behaviors from arising since it sets out clear expectations of how board members should behave.

iBabs’ board portal makes it easy for directors to stay in touch between meetings and streamlines the follow-up on action items by logging who opens and reads documents. To learn more, request a demo today!
